These Terms of Service ("Terms") govern your use of povpro.com (the "Site") and the purchase of products from us. By using the Site or placing an order, you agree to these Terms. If you do not agree, please do not use the Site.

1. WHO WE ARE

2. ELIGIBILITY

You must be at least 18 years old (or the age of majority in your jurisdiction) to place an order. By placing an order, you confirm that you are 18+ and that the information you provide is accurate and complete.

3. PRODUCTS, PRICING & ORDERS

(a) Product information. We try to display every product accurately, but photographs are illustrative — minor variations in color or finish are possible.

(b) Prices. Prices are displayed in USD by default and converted to your local currency at checkout via Shopify Markets. Currency conversion is indicative until checkout finalizes. We may change prices at any time, but a change does not affect orders already placed.

(c) Order confirmation = invitation to treat. When you place an order, we send an automated email confirming receipt. A binding contract forms only when we email a shipping confirmation. We may decline an order if:
- The product is out of stock
- We detect potential fraud
- A pricing error is obvious (e.g. $1 instead of $149)
- We cannot legally ship to your destination

(d) Promotional codes are single-use unless stated otherwise and cannot be combined.

(e) Taxes and duties. US orders are charged sales tax where required. International orders may attract import duties / VAT, payable by you to the carrier upon delivery, unless the destination uses Delivered Duty Paid (DDP) and we have collected those duties at checkout.

4. PAYMENT

We accept payment via Shopify Payments, Apple Pay, Google Pay, Shop Pay, PayPal, and (where eligible) Klarna, Afterpay, Clearpay, Zip, or Shop Pay Installments. By providing payment information, you authorize us to charge the order total (including taxes and shipping) to the selected method.

5. SHIPPING & DELIVERY

See our Shipping Policy for transit times, cut-off times, and tracking. Title and risk of loss pass to you when the carrier scans the parcel as delivered.

7. INTELLECTUAL PROPERTY

All content on the Site (text, images, video, logos, UI, code) is owned by NOVA 21 LLC or our licensors and is protected by copyright, trademark, and other laws. You may not:
- Reproduce, sell, or commercially exploit Site content
- Use our trademarks (POV Pro, PovPro4k) in advertising or marketing without written consent
- Reverse-engineer, scrape, or systematically download the Site

Personal, non-commercial browsing is fine.

8. USER CONTENT

If you submit reviews, photos, videos, or other content (whether by email, social tag, or upload):
- You confirm you own or have rights to that content
- You grant us a non-exclusive, royalty-free, worldwide, perpetual license to use, display, modify, and republish that content for marketing, on the Site, and on social channels
- We may credit you by handle or first name; we'll honor a written request to remove your content

9. PROHIBITED USES

You agree not to:
- Use the Site to violate any law
- Harass, defame, or threaten others
- Attempt to gain unauthorized access to our systems
- Upload malware, run automated scrapers, or interfere with the Site's operation
- Use a false identity or another person's payment method
- Resell our products in bulk (>5 units per order) without prior written permission

We may suspend or terminate your access for breach.

10. DISCLAIMERS

The Site is provided "AS IS" and "AS AVAILABLE." To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, EXCEPT for:
- The express 2-year Limited Warranty on POV Pro hardware
- Your statutory consumer rights under the Australian Consumer Law, UK Consumer Rights Act 2015, EU Directive 2011/83/EU, and applicable US state law

11. LIMITATION OF LIABILITY

To the maximum extent permitted by law, NOVA 21 LLC's total liability for any claim arising out of these Terms or your use of the Site is limited to the greater of (a) USD $200 or (b) the amount you paid for the product giving rise to the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages (lost profits, lost data, lost footage, business interruption).

Nothing in this section limits liability that cannot be excluded by law, including liability for death, personal injury caused by negligence, or fraud.

12. INDEMNIFICATION

You agree to indemnify and hold harmless NOVA 21 LLC and its officers, employees, and agents from any claim or demand (including legal fees) arising from your breach of these Terms or misuse of the Site.

13. GOVERNING LAW & DISPUTES

These Terms are governed by the laws of the State of New Mexico, USA, without regard to conflict-of-laws principles. Disputes will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, seated in Albuquerque, NM, OR in small-claims court if eligible. Class actions and class arbitrations are not permitted. You may opt out of arbitration by emailing contact@povpro.com within 30 days of your first purchase, with the subject line "Arbitration Opt-Out".

Consumers in the EU/EEA/UK retain the right to bring proceedings in their country of residence under applicable consumer-protection law.

14. CHANGES

We may update these Terms. The "Last updated" date at the top reflects the current version. Material changes will be announced on the Site at least 14 days before they take effect. Orders placed under prior Terms remain governed by the version in effect at the time of order.

15. SEVERABILITY

If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect.
